These Terms of Service are an agreement between Stammen Technology, LLC and each visitor or client using the website, client portal, Stripe-hosted billing access, or another online service that links to these Terms.
1. Scope And Acceptance
These Terms of Service govern access to stammentech.com, the Stammen Technology client portal, Stripe-hosted billing pages opened through the portal, and other online services that link to these Terms.
By accessing or using these online services, the visitor or client agrees to these Terms. Anyone using the client portal on behalf of a company represents that they are authorized to act for that company.
2. Project Agreements Control
Website content describes general capabilities and does not replace a proposal, statement of work, order, subscription agreement, master services agreement, or other written agreement accepted by Stammen Technology and the client.
Project scope, deliverables, pricing, payment schedule, service term, cancellation rights, warranties, support obligations, and ownership terms are governed by the applicable written agreement. If that agreement conflicts with these Terms, the written agreement controls for that engagement.
3. Estimates, Proposals, And Scheduling
An estimate or proposal is valid only for the period stated in it. Work is scheduled after the required agreement, approval, deposit, or other stated prerequisite is received.
Dates and timelines depend on timely client feedback, access, content, approvals, and third-party availability. A material change in scope, assumptions, dependencies, or client instructions may require a revised timeline, fee, or written change order.
4. Fees, Billing, And Taxes
Fees, deposits, recurring charges, invoice due dates, and minimum service terms are stated in the applicable agreement or invoice. Payments are non-refundable unless the applicable agreement, a written refund commitment, or applicable law provides otherwise.
Clients authorize Stammen Technology and its payment processor to use the selected payment method for approved charges. Updating or removing a payment method does not by itself cancel a service. Cancellation must follow the applicable agreement or other written instructions accepted by Stammen Technology.
Stammen Technology may pause work, hosting, support, or access after reasonable notice when an undisputed amount is overdue or continued service creates a security or operational risk. Clients are responsible for applicable sales, use, or similar taxes, excluding taxes based on Stammen Technology's net income.
5. Client Responsibilities
Clients must provide accurate contact and billing information, timely decisions, required access, lawful instructions, and materials they have the right to use. Clients remain responsible for reviewing and approving content, business rules, configurations, and deliverables before publication or operational use.
Clients are responsible for maintaining appropriate backups, internal controls, user permissions, and legal or industry compliance for their business unless a written agreement expressly assigns a specific responsibility to Stammen Technology.
6. Client Portal And Account Security
Client portal access is limited to active client records and authorized representatives. Sign-in links, sessions, invoices, contracts, and billing details must not be shared with unauthorized people.
Clients must promptly notify support@stammentech.com of suspected unauthorized access, an incorrect authorized user, or a compromised email account. Stammen Technology may revoke sessions or temporarily restrict portal access to protect a client, the business, or the service.
7. Acceptable Use
The website, portal, and services may not be used to violate law, infringe intellectual property or privacy rights, distribute malicious code, attempt unauthorized access, interfere with service operation, misrepresent identity or authority, or abuse another person or organization.
Automated access, scraping, probing, or security testing is prohibited unless Stammen Technology gives prior written permission.
8. Client Materials And Data
Clients retain ownership of the content, data, trademarks, credentials, and other materials they provide. The client grants Stammen Technology a limited right to access, copy, modify, transmit, and host those materials only as reasonably necessary to perform the applicable services.
Stammen Technology does not claim ownership of client business data. Data handling is also subject to the Privacy Policy and any applicable project agreement, confidentiality agreement, or data-processing terms.
9. Deliverables And Intellectual Property
Ownership and license rights for custom deliverables are stated in the applicable project agreement. Unless that agreement says otherwise, Stammen Technology retains ownership of pre-existing methods, tools, templates, libraries, processes, know-how, and reusable components.
Third-party software, open-source components, fonts, media, plugins, platforms, and other licensed materials remain subject to their respective terms. A client may receive rights to use those materials but does not receive ownership beyond the rights granted by the applicable licensor.
10. Third-Party Services
Services may rely on third parties such as cloud hosts, domain registrars, payment processors, email providers, analytics tools, software vendors, and platform APIs. Those providers operate under their own terms, privacy policies, availability commitments, pricing, and technical limits.
Stammen Technology is not responsible for a third party's independent acts, outages, policy changes, security incidents, or discontinued features, but will use commercially reasonable efforts to address third-party issues within the scope of the applicable agreement.
11. Confidentiality
Each party should use reasonable care to protect non-public business, technical, credential, and project information received from the other party and use it only for the engagement. Information that is public through no breach, independently developed, lawfully received from another source, or required to be disclosed by law is not treated as confidential under this section.
A signed confidentiality or nondisclosure agreement controls if it provides different or more specific terms.
12. Service Standards And Disclaimers
Stammen Technology will perform contracted services in a professional and commercially reasonable manner. Except for an express warranty in a written agreement, the website, portal, and services are provided on an as-available basis to the fullest extent permitted by law.
Stammen Technology does not promise uninterrupted operation, error-free software, permanent third-party compatibility, specific search rankings, leads, revenue, cost savings, or other business outcomes. Automated and AI-assisted outputs may be incomplete or inaccurate and require appropriate human review before use in business, legal, financial, employment, safety, or other consequential decisions.
13. Limitation Of Liability
To the fullest extent permitted by law, neither party will be liable under these Terms for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, or data, arising from the online services.
Except for payment obligations, misuse of confidential information, infringement or misappropriation of the other party's intellectual property, fraud, willful misconduct, or liability that cannot legally be limited, Stammen Technology's aggregate liability under these Terms will not exceed the fees paid for the specific service giving rise to the claim during the six months before the event giving rise to liability. A written project agreement may establish a different limitation.
14. Suspension And Termination
Stammen Technology may suspend or terminate access to the website or portal for material misuse, unauthorized access, security risk, legal requirement, or material breach. When practical, Stammen Technology will provide notice and an opportunity to correct the issue.
Ending portal access does not cancel outstanding payment obligations, recurring services, or a project agreement. Service termination and transition obligations remain governed by the applicable written agreement.
15. Electronic Communications
Clients consent to receive service, billing, security, and transactional communications electronically at the contact information associated with the client record. Clients must keep that information current.
Electronic approvals, notices, records, and signatures may be used when allowed by law and the applicable agreement.
16. Changes To These Terms
Stammen Technology may update these Terms to reflect changes in services, law, security practices, or business operations. Updates will be posted on this page with a revised Last Updated date.
A change to these website Terms does not modify a signed project agreement unless the parties agree to that change in writing. Continued use of the online services after an update constitutes acceptance of the updated Terms for future use.
17. Governing Law And Disputes
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. Before filing a claim, the parties will make a good-faith effort to resolve the dispute through written notice and direct discussion.
Unless an applicable written agreement states otherwise, any court proceeding arising from these Terms must be brought in a state or federal court with jurisdiction in or serving Mercer County, Ohio.
18. General Terms
If a provision of these Terms is found unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. These Terms do not create a partnership, joint venture, employment relationship, or agency relationship.
Neither party is responsible for delay caused by events outside its reasonable control, except that a force majeure event does not excuse payment for services already provided.
